These Terms of Service ("Terms") govern access to and use of the APA platform, website, applications, ticketing services, payment-related functionality, and related services (collectively, the "Services").
These Terms apply to event organizers ("Organizers"), ticket purchasers ("Purchasers"), account holders, visitors, and other users of APA.
By accessing or using APA, creating an account, creating or managing an event, purchasing a ticket, or otherwise using the Services, you agree to these Terms and the policies incorporated into them.
If you do not agree to these Terms, you should not use the Services.
APA's Role
APA provides technology that allows independent Organizers to create, manage, promote, and sell tickets or related products and services to Purchasers.
Organizers are responsible for their events, event descriptions, schedules, availability, admission requirements, fulfillment obligations, refund policies, and compliance with applicable law.
User Accounts
Certain features of APA may require creation of an account.
Users agree to provide accurate, current, and complete information and to maintain the accuracy of that information.
Users are responsible for maintaining the confidentiality of their login credentials and for activity occurring through their accounts, except to the extent otherwise required by applicable law.
Users should promptly notify APA if they reasonably believe their account has been accessed or used without authorization.
Organizer Responsibilities
Organizers are responsible for the accuracy and legality of information associated with their events.
- Event descriptions
- Dates, times, and locations
- Ticket quantities and availability
- Ticket prices
- Admission requirements and restrictions
- Cancellation and refund terms
- Event fulfillment
- Required permits, licenses, or approvals
- Compliance with applicable laws
Organizers may not use APA to facilitate unlawful, fraudulent, deceptive, misleading, or unauthorized activities.
Ticket Purchases
Purchasers are responsible for reviewing event details, ticket information, pricing, fees, refund terms, and applicable conditions before completing a purchase.
A completed purchase may also be subject to event-specific terms established by the Organizer.
Purchasers are responsible for providing accurate contact and payment information.
Pricing and Fees
Ticket transactions may include the ticket price, APA platform or service fees, payment-related charges, taxes, and other applicable charges.
APA may charge percentage-based fees, fixed per-ticket fees, add-on fees, or other disclosed charges for use of the platform ("APA Fees").
APA may establish different fee arrangements for different Organizers based on their applicable commercial agreements with APA.
APA Platform & Service Fees
APA Fees compensate APA for services associated with providing and operating the platform, including technology infrastructure, platform access, transaction facilitation, order processing, ticket delivery, transaction administration, and related services.
A refund of the underlying ticket price does not automatically create a right to a refund of APA Fees.
Payment Processing
Payments made through APA may be processed by third-party payment processors, including Stripe.
Payment processing may be subject to additional terms, policies, verification requirements, and rules imposed by the applicable payment processor or financial institution.
APA does not control independent banking procedures, card-network rules, processing requirements, or financial-institution operations.
Stripe Connect & Organizer Accounts
Organizers may be required to establish or maintain a connected payment account through Stripe Connect or another supported payment provider.
Organizers are responsible for providing accurate information required for identity verification, business verification, banking, tax, and compliance purposes.
Refunds
Ticket-price refund eligibility is generally determined by the applicable Organizer's refund policy, subject to applicable law and APA's Refund & Platform Fee Policy.
An Organizer's authorization of a ticket-price refund does not automatically authorize a refund of APA Fees.
APA Fees remain non-refundable except where required by applicable law, where APA expressly authorizes a refund, or where a verified billing or processing error attributable to APA requires correction.
Event Cancellations, Postponements & Rescheduling
Event cancellations, postponements, schedule changes, venue changes, and other event modifications are primarily the responsibility of the Organizer.
If an event is postponed or rescheduled, tickets may remain valid for the rescheduled event unless otherwise determined by the Organizer or required by applicable law.
Refund eligibility will be determined according to the applicable Organizer policy, APA's Refund & Platform Fee Policy, and applicable law.
Chargebacks & Payment Disputes
Purchasers should contact the applicable Organizer or APA, as appropriate, regarding legitimate transaction or refund issues before initiating a payment dispute when reasonably practicable.
Initiating a chargeback does not automatically create a right to a refund.
APA and/or the Organizer may respond to payment disputes with relevant transaction records, checkout disclosures, ticket-delivery records, event information, refund policies, communications, and evidence of acceptance of applicable terms.
Chargebacks remain subject to applicable law, card-network rules, and payment-processor requirements.
Prohibited Activities
Users may not use APA to:
- Engage in fraudulent or deceptive transactions
- Sell tickets to fictitious or unauthorized events
- Misrepresent material event information
- Attempt unauthorized access to accounts, systems, or data
- Interfere with the security or operation of APA
- Use stolen or unauthorized payment information
- Introduce malicious software or code
- Circumvent platform fees or payment controls
- Violate applicable laws or regulations
Suspension or Termination
APA may suspend, restrict, or terminate access to the Services when reasonably necessary to protect users, investigate suspected fraud or misuse, comply with legal obligations, enforce these Terms, address security risks, or protect the integrity of the platform.
Suspension or termination does not eliminate obligations arising from transactions completed before the effective date of the suspension or termination.
Intellectual Property
The APA platform, including its software, design, branding, logos, interfaces, platform content, and proprietary technology, is protected by applicable intellectual-property laws.
Except as expressly authorized, users may not copy, reproduce, distribute, modify, reverse engineer, commercially exploit, or create derivative works from APA proprietary materials.
Organizer Content
Organizers retain responsibility for content they upload or provide, including event descriptions, images, logos, trademarks, videos, and promotional materials.
By submitting content to APA, the Organizer represents that it has the rights and permissions necessary to use that content and authorizes APA to display and process it as reasonably necessary to provide, administer, promote, and operate the Services.
Third-Party Services
APA may integrate with third-party services, including payment processors, email providers, analytics providers, hosting providers, financial institutions, and other technology providers.
Third-party services may be governed by their own terms and privacy policies.
Service Availability
APA seeks to provide reliable Services but does not guarantee uninterrupted or error-free availability.
Access may occasionally be interrupted by maintenance, updates, third-party outages, network failures, security incidents, force majeure events, or circumstances outside APA's reasonable control.
Disclaimer
APA does not guarantee the quality, safety, legality, performance, occurrence, or success of an event organized by an independent Organizer.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, APA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE SERVICES.
Nothing in these Terms limits liability to the extent such liability cannot legally be limited or excluded.
Indemnification
To the extent permitted by applicable law, Organizers agree to indemnify and hold harmless APA and its applicable officers, directors, employees, and agents from third-party claims arising from the Organizer's events, Organizer-provided content, violation of law, material breach of these Terms, or infringement of third-party rights.
Privacy
Use of APA is also subject to the APA Privacy Policy.
The Privacy Policy describes how APA may collect, use, disclose, retain, and protect personal information.
Electronic Communications
By using APA, users consent to receiving transaction-related electronic communications reasonably necessary to provide the Services, including order confirmations, tickets, payment notices, security notifications, event updates, and policy communications, subject to applicable law.
Changes to These Terms
APA may update these Terms from time to time.
When changes are made, APA may update the effective date and provide additional notice when required by applicable law.
Changes will apply prospectively as required by applicable law.
Governing Law
These Terms will be governed by applicable federal law and, to the extent permitted by law, the laws of the State of Florida, without regard to conflict-of-law principles.
Nothing in this section eliminates consumer protections or other rights that cannot legally be waived.
Severability
If any provision of these Terms is determined to be invalid, unenforceable, or unlawful, the remaining provisions will remain in effect to the maximum extent permitted by law.
Entire Agreement
These Terms, together with APA's Privacy Policy, Refund & Platform Fee Policy, applicable Organizer policies, and any additional terms expressly incorporated by reference, constitute the applicable agreement concerning use of the Services.

Questions concerning these Terms of Service may be submitted through APA's designated customer support or legal contact channels.
